Terms of Service Agreement for Mixroom

1. Acceptance of Terms

This Terms of Service Agreement ("Agreement") is a legally binding contract between Mixroom Software ("we," "us," "our") and you ("User," "you," "your") regarding your use of the Mixroom software, web application, and any future developments created by Mixroom Software or its subsidiaries. By accessing or using Mixroom, you agree to be bound by the terms and conditions outlined in this Agreement.

2. Use of the Software

a. Mixroom is intended for use by audio engineers, sound professionals, musicians, music artists, and related groups including students and freelancers.
b. You agree to use Mixroom for lawful purposes and in a manner that maintains the highest level of integrity, courtesy, and professionalism.

3. User-Generated Content

a. You may post and share content, including but not limited to audio files, text, images, and videos.
b. You represent and warrant that you own or have obtained all necessary rights and permissions for all content you post.
c. You agree not to post content that infringes on the intellectual property rights of others and to comply with local and federal laws. Nudity and other explicit content are strictly prohibited.

4. Prohibited Conduct

You agree not to engage in the following:

a. Piracy or violation of local and federal copyright laws.
b. Infringement of privacy rights.
c. Posting or transmitting harmful content, including racism, harassment, hate speech, and threats of violence or bodily harm.

5. Termination and Suspension

We reserve the right to suspend or terminate your access to Mixroom, including all its versions, web applications, and future developments, if you violate any provisions of this Agreement.

6. Billing Policy

a. For all subscription services, the card set on file during checkout will be charged according to the selected subscription frequency. Users have the option to cancel their subscription at any time during the billing cycle. However, due to the nature of the services provided, refunds, either partial or full, will not be issued, except in cases where a charge has occurred due to fraudulent circumstances or as a result of an internal error. Upon cancellation, users will continue to enjoy membership benefits until the end of the current billing period.
b. We use Stripe for payment processing, analytics, and other business services. Stripe collects identifying information about the devices that connect to its services. This information is used by Stripe to operate and enhance the services it provides, including for fraud detection purposes. 7. Disclaimer of Warranties

Mixroom and all its subsidiary developments are provided "as is" without any warranties, express or implied, including the warranty of merchantability or fitness for a particular purpose.

8. Limitation of Liability

Mixroom Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of Mixroom or its subsidiary developments.

9. Governing Law

This Agreement shall be governed by the laws of the State of New York, United States.

10. Changes to the Terms

We reserve the right to modify these terms at any time. Your continued use of Mixroom after any such changes constitutes your acceptance of the new terms.
